1. Agreement to Terms

By accessing our website or engaging our services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Services

Built by JJ ("we," "us," "our," "JJ") provides web development services including but not limited to:

• Website design and development
• Web application development
• E-commerce solutions
• API development and integration
• Python development
• Database design and implementation
• Website maintenance and updates

3. Payment Terms

3.1 Deposits and Payments

• A non-refundable deposit of 50% is required before work begins on any project
• The remaining balance is due upon project completion, before final files are delivered
• For larger projects, milestone payments may be arranged and documented in writing
• All quoted prices are in USD unless otherwise specified

3.2 Payment Methods

We accept payment via bank transfer, PayPal, Venmo, Zelle, or other agreed-upon methods. Client is responsible for any transaction fees.

5. Project Scope and Changes

5.1 Scope Definition

The scope of each project will be defined in writing before work begins. This includes deliverables, timelines, and pricing.

5.2 Change Requests

• Any changes to the agreed scope will be considered a change request
• Change requests may result in additional charges and extended timelines
• Change requests must be approved in writing before implementation
• Excessive revisions beyond the agreed number will incur additional fees

5.3 Revisions

Unless otherwise specified, projects include up to two (2) rounds of revisions. Additional revisions will be billed at our standard hourly rate.

6. Client Responsibilities

The client agrees to:

• Provide all necessary content, images, logos, and materials in a timely manner
• Respond to communications within 48 business hours
• Provide clear and constructive feedback
• Make payments according to the agreed schedule
• Ensure all provided content does not infringe on third-party rights
• Obtain necessary licenses for any third-party assets

7. Timeline and Delays

• Project timelines are estimates and may be adjusted based on complexity and client responsiveness
• Delays caused by the client (late feedback, missing content, etc.) may result in timeline extensions
• We are not liable for delays caused by factors outside our control
• Projects may be deprioritized if client is unresponsive for more than 14 days

8. Intellectual Property

8.1 Ownership Transfer

Upon full payment, the client receives ownership of the custom code and design created specifically for their project. However:

• We retain the right to use the work in our portfolio
• Third-party components (plugins, libraries, stock images) remain subject to their original licenses
• Pre-existing code and frameworks used remain our property or their respective owners'

8.2 Portfolio Rights

We reserve the right to display completed work in our portfolio, on social media, and in marketing materials unless a separate confidentiality agreement is executed.

9. Confidentiality

We agree to keep confidential any proprietary information shared during the project. This does not apply to information that is publicly available or required to be disclosed by law.

10. Warranty and Disclaimer

10.1 Limited Warranty

We warrant that delivered work will substantially conform to agreed specifications for 30 days after delivery. This warranty covers bug fixes only, not new features or changes.

12. Indemnification

Client agrees to indemnify and hold harmless Built by JJ from any claims, damages, losses, or expenses arising from:

• Client's use of delivered work
• Client's breach of these terms
• Content provided by the client that infringes third-party rights
• Client's violation of any applicable laws

13. Project Cancellation

13.1 Cancellation by Client

• Client may cancel at any time by providing written notice
• No refunds will be issued for work already completed
• All deposits are non-refundable
• Client must pay for all work completed up to the cancellation date

13.2 Cancellation by Us

We reserve the right to cancel a project if:

• Client fails to make required payments
• Client is unresponsive for more than 30 days
• Client engages in abusive or harassing behavior
• Client requests illegal or unethical work

14. Hosting and Maintenance

• Hosting services are separate from development and billed accordingly
• We are not responsible for third-party hosting issues
• Maintenance packages are available and billed separately
• Updates to third-party software may require additional work

15. Dispute Resolution

Any disputes arising from these terms shall be:

• First attempted to be resolved through good-faith negotiation
• If unresolved, submitted to binding arbitration
• Governed by the laws of the United States

Client waives the right to participate in class action lawsuits against Built by JJ.

16. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, along with any project-specific agreements, constitute the entire agreement between the parties and supersede all prior communications.

19. Modifications

We reserve the right to modify these Terms at any time. Continued use of our services after changes constitutes acceptance of modified Terms.
